These Terms & Conditions govern your use of https://www.rampsbd.com and the purchase of any software, subscription, licence or professional service supplied by RampsBD (“RampsBD”, “we”, “us”). By browsing this website, requesting a quotation or completing a payment, you confirm that you have read, understood and agreed to be bound by these terms, together with our Privacy Policy and Return & Refund Policy.
1. About Us
RampsBD is a technology and software engineering company registered in Bangladesh under Trade License No. 06/B-516. Our registered office is at Holding No. 496, (Jakibag), Seroil, P.O. Ghoramara, Rajshahi-6100, Bangladesh. Full company details are published on our About Us page.
2. Services We Provide
We deliver Enterprise Resource Planning (ERP) systems, accounting and finance software, custom software and web development, IoT and embedded systems, AI solutions and related implementation, training and support services. Every engagement is defined by a written quotation, proposal, work order or subscription invoice (the “Order Document”), which sets out the agreed scope, deliverables, milestones, fees and duration. Where anything in an Order Document conflicts with these terms, the Order Document prevails for that engagement.
3. Quotations, Orders and Acceptance
- Prices shown on the website or in a proposal are indicative until confirmed in an Order Document.
- A quotation remains valid for 30 calendar days from its issue date unless stated otherwise.
- An order is accepted only when we issue a written confirmation or invoice against it.
- We may decline or cancel an order where the requirement is outside our capability, where the information supplied is incomplete or inaccurate, or where a payment fails verification.
4. Pricing, Taxes and Payment
- All prices are quoted in Bangladeshi Taka (BDT) unless expressly stated otherwise.
- Applicable VAT, AIT and other government levies are charged at the rates prevailing on the invoice date.
- Online payments are collected through SSLCOMMERZ, a Payment Service Provider approved by Bangladesh Bank. Accepted instruments include international and local cards, internet banking and mobile financial services as displayed in our website footer.
- Project work typically follows a milestone schedule; subscriptions and support retainers are billed in advance for the agreed period.
- You are responsible for any bank, card issuer or currency conversion charge levied by your own provider.
5. Delivery of Services
Digital deliverables, licence keys and account credentials are issued to the email address supplied at checkout, normally within two (2) working days of payment confirmation, or on the schedule set out in the Order Document for staged projects. Implementation timelines depend on timely access, data, approvals and feedback from your side; delays caused by outstanding client inputs extend the delivery schedule accordingly.
6. Client Responsibilities
- Provide accurate business, billing and contact information and keep it current.
- Nominate a responsible point of contact empowered to approve requirements and sign off deliverables.
- Maintain the confidentiality of any credentials issued to you, and notify us immediately of suspected misuse.
- Use our software and services only for lawful purposes and in accordance with the licence granted.
7. Intellectual Property
All pre-existing frameworks, libraries, tools and source code owned by RampsBD remain our property. On full settlement of all invoices, you receive the licence or assignment specified in the Order Document for the deliverables built for you. Your own data, trademarks and content remain yours at all times. Website content, branding and artwork on https://www.rampsbd.com may not be reproduced without our written permission.
8. Warranty and Support
Custom development is covered by a defect-rectification warranty for the period stated in the Order Document (ordinarily 30 to 90 days from acceptance), covering faults where the delivered software does not perform in line with the agreed specification. The warranty does not cover new requirements, changes to third-party platforms, misuse, unauthorised modification, or issues arising from your own infrastructure. Extended support is available under a separate support agreement.
9. Cancellation, Returns and Refunds
Cancellation rights, eligibility for a refund and the settlement timeline are set out in full in our Return & Refund Policy. Approved refunds are returned to the original payment instrument within 7 to 10 working days of approval.
10. No Third-Party Advertising
https://www.rampsbd.com does not display third-party advertisements, sponsored placements or affiliate banners, and we do not sell, rent or trade customer information to advertisers or data brokers. Customer data is shared only with the service providers strictly necessary to operate the service — such as our payment gateway and hosting provider — as described in our Privacy Policy.
11. Limitation of Liability
To the fullest extent permitted by law, our aggregate liability arising out of or in connection with any engagement is limited to the total fees actually paid by you to us for that engagement during the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect or consequential loss, including loss of profit, revenue, goodwill, business opportunity or data, however arising. Nothing in these terms limits liability for fraud, wilful misconduct, or any liability that cannot lawfully be excluded.
12. Confidentiality
Each party will keep the other's non-public business, technical and commercial information confidential, use it only for the purposes of the engagement, and protect it with at least the same care it applies to its own confidential information. This obligation survives completion of the engagement.
13. Suspension and Termination
We may suspend services where an invoice remains unpaid beyond 30 days of its due date, or where the service is being used unlawfully. Either party may terminate an engagement for material breach that remains uncured 15 days after written notice. On termination, all work completed up to the effective date becomes immediately payable.
14. Force Majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disaster, fire, flood, epidemic, war, civil unrest, strike, government restriction, nationwide internet or power outage, or failure of a third-party platform or payment network.
15. Governing Law and Jurisdiction
These terms are governed by the laws of the People's Republic of Bangladesh. The parties will first attempt to resolve any dispute amicably; failing that, the courts of Bangladesh have exclusive jurisdiction.
16. Changes to These Terms
We may update these terms from time to time to reflect changes in our services or in applicable law. The revised version takes effect when published on this page, and the “last updated” date above is amended accordingly. Orders already accepted continue under the terms in force when they were placed.
